1. Introduction and Acceptance

The Service is intended for use by businesses and professionals. It is not intended for consumer use. By using the Service, you confirm that you are acting in a professional or commercial capacity.

3. Account Registration and Security

You must provide accurate, complete, and current information during registration. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities occurring under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Fees, Billing, and Payment

Paid plans are billed in advance on a recurring basis (monthly or annually, as selected). All payments are processed by Stripe, Inc. ("Stripe"), our payment processor. The Provider is the seller of record (merchant of record) for all transactions and is responsible for issuing invoices to you.

All fees are exclusive of applicable taxes. Applicable taxes (including VAT, sales tax, and GST) will be calculated and collected in accordance with applicable law.

You agree to provide accurate billing information. Failure to pay may result in suspension or termination of your access to the Service.

5. Refunds and Cancellation

You may cancel your subscription at any time through your account settings or by contacting us.

During the free trial period, you can cancel anytime at no cost. No payment will be charged.

After the trial period ends, cancellation takes effect at the end of the current billing period. No prorated refunds are provided for partial billing periods.

As the Service is provided to business customers (B2B), the statutory right of withdrawal (Widerrufsrecht) under EU consumer protection law does not apply.

6. Data Accuracy and No Reliance

THE SERVICE PROVIDES DATA, ANALYTICS, AND INSIGHTS DERIVED FROM THIRD-PARTY SOURCES ON AN "AS IS" BASIS. We do not guarantee the accuracy, completeness, timeliness, or reliability of any data provided through the Service. Search engine algorithms, rankings, and related metrics are controlled by third parties and may change without notice.

7. Limitation of Liability

7.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PROVIDER'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF THE SERVICE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES ACTUALLY PAID BY YOU TO THE PROVIDER DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

7.2 IN NO EVENT SHALL THE PROVIDER BE LIABLE FOR ANY:

IN EACH CASE WHETHER OR NOT THE PROVIDER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE LEGAL THEORY UPON WHICH ANY CLAIM IS BASED.

7.3 Nothing in these Terms excludes or limits liability for (a) death or personal injury caused by gross negligence or wilful misconduct (Vorsatz oder grobe Fahrlässigkeit); (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under mandatory applicable law, including under Sections 309 and 276 of the German Civil Code (BGB).

7.4 You acknowledge that the fees charged for the Service reflect the allocation of risk set forth in these Terms and that the Provider would not enter into these Terms without these limitations.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, the Provider does not warrant that: (a) the Service will be uninterrupted, error-free, or secure; (b) defects will be corrected; (c) the Service or the servers that make it available are free of viruses or harmful components; or (d) the results obtained from the Service will be accurate or reliable.

9. Indemnification

You agree to indemnify, defend, and hold harmless the Provider from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content or data you submit through the Service.

10. Intellectual Property

All rights, title, and interest in and to the Service, including all software, algorithms, user interface designs, documentation, and related intellectual property, are and shall remain the exclusive property of the Provider. These Terms do not grant you any rights to use the Provider's trademarks, logos, or brand features.

You retain ownership of any data you upload to the Service. You grant us a limited, non-exclusive license to process your data solely for the purpose of providing the Service.

11. Data Protection

To the extent that we process personal data on your behalf, the parties agree to enter into a Data Processing Agreement (DPA) as required under Article 28 of the General Data Protection Regulation (GDPR).

12. Acceptable Use

You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorized access to any part of the Service; (c) interfere with or disrupt the integrity or performance of the Service; (d) reverse engineer, decompile, or disassemble the Service; (e) use the Service to scrape, crawl, or harvest data in violation of third-party terms of service; (f) resell, sublicense, or redistribute access to the Service without our prior written consent; or (g) use automated means to access the Service beyond the scope of your subscription.

13. Service Availability

We use commercially reasonable efforts to maintain the availability of the Service but do not guarantee any specific uptime percentage. The Service may be temporarily unavailable for scheduled or emergency maintenance. We will endeavor to provide reasonable advance notice of scheduled maintenance when practicable.

We shall not be liable for any damages arising from Service unavailability.

14. Modification of Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to you via email or through the Service at least thirty (30) days before they take effect. Your continued use of the Service after the effective date of any modifications constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service and cancel your subscription before the changes take effect.

15. Termination

Either party may terminate these Terms at any time. We may suspend or terminate your access to the Service immediately and without prior notice if we reasonably believe that you have violated these Terms or if required by law.

Upon termination: (a) your right to access the Service ceases immediately; (b) you remain liable for all fees incurred prior to termination; (c) we may delete your account and data after a reasonable retention period of thirty (30) days, during which you may request an export of your data.

Sections 6, 7, 8, 9, 10, and 16 shall survive any termination or expiration of these Terms.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.

Any disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Frankfurt am Main, Germany, provided that this jurisdiction clause applies only to merchants (Kaufleute), legal entities under public law, or public-law special funds within the meaning of Section 38 of the German Code of Civil Procedure (ZPO).

17. Force Majeure

The Provider shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, government actions, power failures, internet or telecommunications failures, or third-party service outages.

18. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced by a valid provision that most closely reflects the economic intent of the original provision.

19. Entire Agreement

These Terms, together with the Privacy Policy and any applicable Data Processing Agreement, constitute the entire agreement between you and the Provider with respect to the Service and supersede all prior or contemporaneous communications, whether electronic, oral, or written.
